Terms of Service

1. Acceptance of these terms

By creating an account or using Baseline, you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the service.

2. What Baseline is

Baseline is a workload-tracking and personal-baseline-detection tool for early-stage founders. It collects self-reported daily check-ins and, optionally, metadata from your connected services (Google Calendar, Gmail) to display trends in stress, sleep, and workload over time.

Baseline is operated personally by two individuals based in Canada, before incorporation, as a closed beta. The service is provided as-is during this period.

Not medical advice Baseline is not a medical device, not a clinical diagnostic tool, and not a substitute for professional mental health care. The "burnout risk" or "workload index" shown in your dashboard is a coarse heuristic and does not constitute a clinical assessment. You own the data you submit to Baseline (check-ins, notes, metadata pulled from your connected accounts). By using the service, you grant us a limited license to store, process, and display this data to you and to authorized cohort administrators (where applicable) for the purposes described in our Privacy Policy.

You can export or delete your data at any time. See the Privacy Policy for details.

7. Cohort and investor reports

If you participate in a cohort with a designated client/investor administrator, that administrator can see aggregated metrics across the cohort — averages and counts only — and only when at least 5 founders are contributing data within the lookback window. Individual founder data is never exposed to other founders, investors, or third parties.

8. Third-party services

Connecting Google Calendar or Gmail is optional. When you connect, Google's terms and privacy policies also apply to that flow. You can disconnect at any time from your founder dashboard, and you can revoke our access entirely at myaccount.google.com/permissions.

9. Intellectual property

The Baseline name, logo, software, design, and underlying technology are owned by us. Nothing in these Terms transfers ownership of any of those to you. You receive a limited, non-exclusive, non-transferable, revocable license to use the service for its intended purpose during the beta period.

To the maximum extent permitted by law, Baseline is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

12. Limitation of liability

To the maximum extent permitted by law, in no event will Baseline, its operators, or its service providers be liable for any indirect, incidental, special, consequential, or exemplary damages, including damages for lost profits, data, or use, arising out of or in connection with your use of the service.

Our total aggregate liability to you for any claim arising from or relating to these Terms or the service shall not exceed the greater of (a) the amount you have paid us in the 12 months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

13. Indemnification

You agree to indemnify and hold harmless Baseline and its operators from any claim, loss, or expense (including reasonable legal fees) arising out of (a) your use of the service in violation of these Terms, (b) any data you submit, or (c) your violation of any law or third-party right.

14. Termination

You may stop using the service and delete your account at any time. We may terminate or suspend your access immediately, without prior notice, if we believe you have violated these Terms or applicable law, or if continued operation would create undue legal or operational risk for us. On termination, the license granted to you ends; sections that by their nature should survive (data ownership, disclaimers, liability, indemnification, governing law) will remain in effect.

15. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that any dispute arising from or relating to these Terms or the service will be brought exclusively in the courts located in Ontario, Canada, and you consent to personal jurisdiction in those courts.

16. Changes to these terms

We may update these Terms as the product evolves. When we do, we will increment the version number at the top of this page and, for material changes, notify active users by email. Continued use of the service after a change constitutes acceptance of the updated Terms.

Plain-English summary Baseline is a small closed beta. We track your check-ins and (optionally) your calendar/email metadata to show you a personal trend over time. We don't sell your data, we don't share individual data with anyone, and you can delete everything at any time. We can't promise the service will always work, we're not a medical service, and our liability is capped. Fair?
